1. Acceptance of Terms

By creating an account or using PhaseLens ("the Service"), you agree to these Terms of Use, the Limitation of Liability below, and our Privacy Policy. You must be at least 18 years old.

2. Nature of the Service — Not Financial Advice

PhaseLens is an educational and informational research tool. All scores, signals (including BUY / HOLD / SELL labels), phase classifications, fair-value estimates, screens, backtests, and narratives are generated automatically from publicly available data by deterministic rules and, where labeled, AI language models. Nothing on the Service constitutes investment advice, a recommendation, an offer, or a solicitation to buy or sell any security. PhaseLens is not a registered investment adviser, broker-dealer, or fiduciary, and no advisory relationship is created by your use of the Service.

3. Data, Accuracy, and Availability

Market and fundamental data are sourced from third-party providers and may be delayed, incomplete, or inaccurate. Model outputs may contain errors. Hypothetical and backtested results are illustrative only, do not represent actual trading, and are subject to known limitations (including survivorship bias, which the Service discloses where applicable). Past performance — actual or hypothetical — does not guarantee future results. The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement.

4. Your Responsibilities

You are solely responsible for your investment decisions. Before acting on any information from the Service, conduct your own research and consult a licensed financial professional. You agree not to misuse the Service, including attempting to circumvent access controls or rate limits, scraping at scale, reverse engineering, or reselling Service output without permission.

5. Securities Law Compliance — No Insider Information

PhaseLens uses only publicly available information. All data, scores, signals, and analyses are derived from public market data, public company filings, and other publicly available sources. The Service does not contain, solicit, or knowingly process material non-public information ("MNPI") about any company.

You agree that you will not use the Service: (a) in connection with, or to facilitate, trading on the basis of MNPI or any other conduct prohibited by the U.S. Securities Exchange Act of 1934, SEC rules (including Rule 10b-5), or any other applicable securities laws; (b) to submit, share, or attempt to incorporate MNPI into the Service; or (c) for market manipulation of any kind. Compliance with all applicable securities laws and regulations, including insider-trading prohibitions, is solely your responsibility. If you are subject to trading restrictions (for example, through your employer, a blackout period, or a restricted list), you are responsible for honoring them.

6. Limitation of Liability

To the maximum extent permitted by law: PhaseLens, its creator, and its data and infrastructure providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, capital, or investment losses of any kind, arising out of or relating to your use of (or inability to use) the Service — even if advised of the possibility of such damages. In no event shall total aggregate liability for all claims exceed the greater of the amount you paid for the Service in the twelve months preceding the claim or fifty U.S. dollars (US $50). Some jurisdictions do not allow certain limitations; in those jurisdictions, liability is limited to the smallest extent permitted by law.

7. Indemnification

You agree to indemnify and hold harmless PhaseLens and its creator from claims arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

8. Accounts and Termination

You are responsible for safeguarding your account credentials. We may suspend or terminate access for violation of these Terms, abuse of the Service, or as needed to protect the Service. Beta access, invite codes, and founding-member benefits are granted as described at signup and may be modified prospectively with notice.

9. Intellectual Property

The Service, including its methodology descriptions, interface, and generated content, is protected by applicable intellectual-property laws. You receive a limited, revocable, non-exclusive license for personal, non-commercial use.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by the effective date above. Continued use after changes constitutes acceptance.

11. Dispute Resolution: Binding Arbitration & Class Action Waiver

Please read this section carefully; it affects your legal rights. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court. You and PhaseLens each waive the right to a trial by jury and the right to participate in a class action, class arbitration, or other representative proceeding. The arbitrator may award relief only to the individual party seeking it. You may opt out of this arbitration agreement by emailing phaselensai@gmail.com within 30 days of first accepting these Terms, stating your name and account email and that you opt out of arbitration; opting out does not affect any other provision.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts and the applicable federal laws of the United States of America (including, without limitation, federal securities laws), without regard to conflict-of-law principles. Any disputes shall be brought in the state or federal courts located in Massachusetts.
